TERMS OF AFFILIATION FOR SELLING IN GRAN MEXICO

THIS AGREEMENT OF GRAN MEXICO SI SE PUEDE! (THE “AGREEMENT”) CONTAINS THE TERMS AND CONDITIONS GOVERNING YOUR ACCESS AND USE OF THE SERVICES AND CONSTITUTES AN AGREEMENT BETWEEN YOU OR THE COMPANY YOU REPRESENT AND GRAN MEXICO SI SE PUEDE!. BY REGISTERING OR USING THE SERVICES, YOU (IN YOUR OWN NAME OR ON BEHALF OF THE COMPANY YOU REPRESENT) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT, INCLUDING THE TERMS OF SERVICE AND POLICIES OF OUR WEB SITE.

For the purposes of this Agreement, our company GRAN MEXICO SI SE PUEDE! referred to hereinafter as Gran México, as well as the terms “we”, “our” and “Gran México” refer to the Contracting Party Gran México and “you” it refers to the applicant (if you register for or use a Service as a private person) or the company in which the applicant is employed (if you register or use a service as a company) and any of Your Affiliates.

  1. Registration.

To begin the registration process, you must complete the registration process. As part of the application, you must provide your name (or company name), your address, telephone number and email.   1. Payment of Service Fees and Membership

Bank Account in your name acceptable to Gran México

The conditions of acceptance may be modified or interrupted by us at any time and without prior notice.

You may only use a name that you are authorized to use in connection with the Service and update the information you have provided to us in connection with the Services and you must ensure that it is accurate, complete and valid at all times. If necessary, under your consent, you will provide us with the necessary documentation to verify your information to obtain credit reports about you on a regular basis, as well as to obtain credit authorizations from your credit card issuer and / or to charge your Card Credit or your Bank Account any amount you owe us (as a refund or for any other reasons). The payments made to you will be made to Your Bank Account, through a banking network or in the manner that we specify.

If we conclude that your actions and / or performance may cause refunds, refunds, claims, disputes, violations of our terms or policies or other risks

The cost of the membership as a seller will be $ 1,000.00 pesos (MXP) per month which will be paid since one is subscribed to the portal and will be charged at the beginning of each month.

  1. Validity and Termination.

The validity of this Agreement will begin on the date you complete the registration and / or use a service in Gran México, whichever comes first, and continue until you or we terminate it, pursuant to this Agreement (the “Term”). We may terminate or suspend this Agreement or any Service, for any reason at any time, by notifying you. You may terminate this Agreement or any Service, for any reason and at any time by writing to info@granmexico.com.mx or by calling 477 102 5008. Termination or suspension of a Service will not constitute termination or suspension of any other Service, unless expressly stipulated. Upon termination, all rights and obligations of the parties in accordance with this Agreement will terminate, except as provided in the clauses corresponding to rights and obligations that remain after the termination of the contract. Any condition that lasts expressly, in accordance with the applicable Terms of Service, will also remain valid after termination.

When accessing Gran México, you will have to create your password. You will be responsible for its use and for passing it on to third parties if you authorize it to use your account. You will be solely responsible for any use or action that is made using your password. If you think your password is in danger, you should change it immediately.

The lack of payment by you of any of the fees corresponding to our Web Site, will cause the termination of the contract immediately as well as the elimination of your products and / or services within our platform.

4.-License

By subscribing to Gran Mexico as a member (seller or promoter) of any product or service, you grant the right to Gran México royalty-free license to promote, use, display, distribute, adapt your product or service for the purposes necessary for its commercialization in our Web site.

5.-Truthful Manifestation

You declare that you are a natural or legal person legally constituted under Mexican law, that you operate in a legitimate manner, that you have all the faculties to be able to subscribe to this Agreement, and that there is no fraud, false information of any kind, and It obliges to comply with the obligations set forth therein and to grant the rights, licenses and authorizations granted in accordance therewith.

6.-Disclaimer of Liability

You exempt us and agree to indemnify, defend and exonerate us,  our subsidiaries, our officers and any employee, for any claim, damage, costs, expenses (including attorneys’ fees) or other liabilities, arising in connection with:

  1. a) Any failure, failure or obligation on your part.
  2. b) Any sales channel other than Gran México
  3. c) Any quality problem that is present in the product or service, the materials used in the products, and any personal injury, death or property damage related to it.
  4. d) Any alleged or actual violation of any of the Intellectual Property Rights.
  5. e) Your Taxes.

7.-Use of the Platform (Web Site).

Gran México seeks to offer a reliable and secure platform in accordance with industry standards, but the use of the Gran México Platform will be at its own risk. WE DO NOT GUARANTEE THAT THE FUNCTIONS CONTAINED IN THE PAGES OR SERVICES OF GRAN MEXICO WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE AVAILABLE OR WILL OPERATE TIMELY, SAFELY, WITHOUT INTERRUPTIONS AND WITHOUT ERRORS, AND WE ARE NOT RESPONSIBLE FOR THE INTERRUPTIONS OF THE SERVICE, INCLUDING, WITHOUT LIMITATION, FAILURES IN THE SYSTEM OR OTHER INTERRUPTIONS THAT COULD AFFECT THE RECEPTION, PROCESSING, ACCEPTANCE, TERMINATION OR AGREEMENT OF ANY TRANSACTION.

Gran México disclaims all responsibility for any commercial transaction carried out between buyers and sellers outside our Web Site.

  1. Fiscal Aspects.

Between the parties, you will be responsible for the collection and payment of all Your Taxes, except to the extent that (i) Gran México automatically calculates, withholds or taxes your name in accordance with the applicable legislation; or (ii) Gran México expressly agrees to receive taxes or other charges based on transactions in its name related to the tax calculation services provided by Gran México and used by you.

All fees and payments whose payment you must pay to Gran México under this Agreement or the applicable Terms of Service shall not include any tax, deduction or applicable and you shall be responsible for payment to Gran México of Your applicable Taxes on such amounts and any deduction or withholding required in any payment.

  1. Confidentiality.

During the time you use the Services, you may receive information related to us or to the Services including, without limitation, the Transaction Information of Gran México, which is not public domain (which will be considered Confidential Information). You fully accept that: (a) all Confidential Information will be the exclusive property of Gran México; (b) you will use the Confidential Information only to the extent reasonably necessary for your participation in the Services; (c) will not otherwise disclose the Confidential Information to any Person; and (d) take reasonable measures to protect the Confidential Information from any disclosure or use that is not expressly provided for in this Agreement. It is prohibited for you to disseminate press releases or make public statements regarding the Services, or use our name, our trademarks or our logo in any way (including in promotional material) without our prior written authorization, or misrepresent the relationship existing between us in any way. You will not make any statement, either on your page or otherwise, that is in contradiction with this Agreement.

12.-Modifications

We may modify any of the conditions of this Agreement at any time in our sole discretion. Any change will be valid once it has been published in our corresponding Portal and you will be responsible for reviewing those pages and to inform yourself about the changes and the applicable notifications, which may be published in the Terms of Service, Privacy Policy and Terms of Service. 13.-Product Images

As a supplier and / or manufacturer of products, you must be responsible for sending us the photographs and / or promotional videos necessary to advertise your products as well as providing descriptive information in both Spanish and English of each of your products to be announced. In case you do not have images that comply with the necessary features to be able to advertise your products, Gran Mexico offers to take the photographs to your products in professional studio.

14.- Packaging.

All products must be sent or sent to the offices of Gran México located at: Adolfo López Mateos Blvd. 3111 B-19 Col. El Rosario C.P. 37125 León, Guanajuato, México for proper storage, inventory, classification and packaging when applicable. The shipment or delivery of the product in our warehouse will run and it will be your responsibility. In the event that we deem it convenient not to send the product to our warehouse for whatever reason or to consider it more convenient due to its location, then it will package each of its Products in a commercially reasonable manner, complying with all packaging requirements and Applicable labeling, and will ship each of your products on or before your expected Shipment date. Gran México will provide you with a guide by electronic means for you to print it and place it on the product so that it can be sent. You will be responsible for sending us true and complete information about the dimensions and weights of the product and the package for shipment. Likewise, you agree and will be responsible for delivering the package at the offices of our courier or carrier service provider that is most convenient for you on the expected delivery date. Any failure to deliver, wrong delivery, theft or other error caused by the delivery of your products, will be your responsibility if it is not sent by our warehouse.

Likewise, you will comply with all the instructions of the Release Date and will include a packing list by specific order and, as applicable, any tax invoice, within each shipment of Your Products.

You must keep evidence of all shipments made for any future claim that may arise, as well as the order number associated with the deliveries.

15.-Quality

You are responsible for delivering each and every one of your units in new conditions, under marketable and acceptable conditions. You will be responsible for the Quality of each and every one of the units that we commercialize. All the Units and their packaging will comply with the corresponding requirements of marking, labeling and other requirements according to the Law; as well as you will ensure that no Unit is or will be produced or manufactured, totally or partially, with child labor.

16.-Returns

Gran México will not be responsible for returns due to quality problems, materials or any issue related to the product, any refund, in case of proceeding, will be charged to your account, including the cost of the return guide. We will make any payment to the clients in the way that we so determine, and you will reimburse us for the amounts that we pay, as well as the payment of the commission and service of the portal (Return Policy).

17.- Revenue Report for Sales and Refunds.

Unless stated otherwise in this Agreement, we will send your available balance to you every two weeks (14 days) (or, at our option, more frequently). For each shipment, your available balance will be equal to any Sales Income that has not been previously sent to you from the applicable Shipment Calculation Date (which you will accept as full payment for Your Transactions), less: (a) Expedition charges; (b) the applicable Variable Closing Charge; (c) any Subscription charge to Sell in Gran México; (d) any other applicable charge described in this Agreement (including any applicable Platform Policy); and (e) any amount that we require you to keep in your account balance in accordance with this Agreement and (f) any taxes that Gran México automatically calculates, withholds or entertains to a tax authority in accordance with applicable law. You will not receive interest on any Sales Income.

We may establish a reserve in your account based on our assessment of the risks that may be represented by your actions or performance for Gran Mexico or a third party, and we may modify the amount of the reserve eventually at our sole discretion.

Payments will be made to the authorized Bank Account that you registered when registering.

18.-Shipping to Gran México

You must send your product to our distribution center and you are responsible for all costs related to such shipment. If, due to its location, it is not strategically convenient for you to send us the product, your case will be reviewed by Gran México and in that case we will send you a guide every time you have to make a shipment to customers.

The property and risk of loss by any Unit shipped using our guides that we provide in terms of this Section will be retained by you and the fact that we make such shipping guides available to you will not generate any liability of any kind to us in connection with any delay. , damage or loss incurred during shipment.

19.-Customer Returns

In the event that Gran Mexico receives a return from a customer (Returns Policy), you will give us instructions to return or dispose of such a Unit, at its full cost, and in the absence of which we may dispose of the Unit.

We can keep the income obtained from the units whose property is granted / transmitted to us or that has been left at our disposal, including the returned, damaged or abandoned units. You will not have any right of guarantee, encumbrance or other right to the income we receive in connection with the sale or disposition of said Units.
